IPAManager – End User License Agreement and Intellectual Property Terms
Effective Date: March 25, 2026
By downloading, installing, accessing, activating, evaluating, or using IPAManager, including any related documentation, updates, license keys, trial versions, or support materials, you agree to this End User License Agreement and Intellectual Property Terms (the "Agreement"). If you do not agree to this Agreement, you must not download, install, access, activate, or use the Software.
This Agreement applies to end customers and their authorized internal users only. It does not create any reseller, distributor, managed service provider, white-label, OEM, partnership, revenue-sharing, agency, or integration rights unless IPAManager signs a separate written agreement expressly granting those rights.
1. Definitions
- "IPAManager" means the owner and provider of the IPAManager software, website, documentation, licensing materials, and related services.
- "Software" means the IPAManager application, installers, packages, binaries, modules, user interfaces, scan engines, topology features, reports, templates, scripts, configuration examples, updates, upgrades, patches, and related components provided by IPAManager.
- "Documentation" means user guides, installation guides, online help, website content, videos, release notes, technical instructions, screenshots, diagrams, and other materials provided by IPAManager.
- "Customer", "you", or "your" means the organization or individual that downloads, installs, evaluates, purchases, or uses the Software.
- "Authorized Users" means your employees, contractors, or internal personnel who are permitted by you to use the Software solely for your internal business purposes and under your responsibility.
- "Customer Data" means network data, inventory data, credentials, logs, subnet data, topology data, reports, configuration data, and other information entered into or generated by your use of the Software in your own environment.
- "Intellectual Property Rights" means all copyright, patent rights, trade secrets, trademarks, service marks, trade names, domain names, moral rights, database rights, design rights, know-how, inventions, algorithms, source code rights, object code rights, documentation rights, and all similar proprietary rights anywhere in the world, whether registered or unregistered.
2. License Grant
Subject to your compliance with this Agreement and any applicable commercial terms, IPAManager grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your internal business purposes and only within the license scope, subscription term, trial period, number of installations, number of users, environment, or other limits purchased or otherwise approved in writing by IPAManager.
The Software is licensed, not sold. No ownership rights are transferred to you under this Agreement.
3. Trial, Evaluation, and Free Use
If the Software is provided for trial, evaluation, demonstration, beta, pilot, free, or limited use, you may use it only for the stated evaluation purpose and only for the period and scope made available by IPAManager. IPAManager may modify, limit, suspend, or terminate any trial or evaluation access at any time, subject to applicable law.
4. Permitted Use
You may use the Software only for lawful internal IP address management, subnet management, device inventory, network discovery, network topology visibility, reporting, infrastructure documentation, and related administrative activities in environments that you own, control, or are legally authorized to scan, monitor, or manage.
You are responsible for all activity by your Authorized Users and for ensuring that each Authorized User complies with this Agreement.
5. Prohibited Use and License Restrictions
Except as expressly permitted by this Agreement or by a separate written agreement signed by IPAManager, you must not, directly or indirectly:
- copy, reproduce, distribute, publish, rent, lease, lend, sell, resell, sublicense, assign, transfer, host, or commercially exploit the Software or Documentation;
- use the Software to provide outsourced services, managed services, service bureau services, commercial network management services, or third-party services for another organization;
- modify, adapt, translate, create derivative works of, repackage, rebrand, white-label, or make any unauthorized version of the Software or Documentation;
- reverse engineer, decompile, disassemble, decode, decrypt, extract, or otherwise attempt to discover the source code, internal structure, architecture, algorithms, scan logic, parsers, workflows, database structures, license mechanisms, or underlying ideas of the Software, except to the limited extent such restriction is prohibited by applicable law;
- bypass, disable, tamper with, remove, or circumvent any license key, activation mechanism, usage limit, trial limit, security control, audit mechanism, watermark, copyright notice, trademark notice, or proprietary notice;
- separate Software components for use outside the Software, or use any component, script, parser, template, scan engine, UI element, or database structure independently from the licensed Software;
- use the Software or Documentation to build, train, benchmark, compare, support, or improve a competing product or service, including an IPAM, network discovery, network inventory, network scanner, topology mapping, or infrastructure documentation product;
- use the Software for unlawful scanning, unauthorized access, credential misuse, surveillance, intrusion, disruption, or activity that violates third-party rights or applicable law;
- remove, obscure, or alter any product name, logo, copyright notice, trademark notice, attribution, legal notice, or proprietary marking;
- publish performance benchmarks, security testing results, vulnerability details, comparative results, or technical analyses of the Software without prior written approval from IPAManager, except where disclosure is required by law or made under a responsible disclosure process; or
- permit any third party to perform any of the actions above.
6. Ownership and Reservation of Rights
IPAManager and its licensors retain all right, title, and interest in and to the Software, Documentation, website content, product name, logos, trademarks, service marks, trade dress, domain names, designs, screenshots, diagrams, texts, videos, technical materials, license keys, installers, update packages, source code, object code, scripts, templates, scan logic, topology logic, parsers, reports, workflows, architecture, database structures, algorithms, inventions, know-how, trade secrets, and all related Intellectual Property Rights.
All rights not expressly granted to you in this Agreement are reserved by IPAManager. No rights are granted by implication, waiver, estoppel, exhaustion, course of dealing, or otherwise.
7. No Transfer, Assignment, or Work Made for Hire
Nothing in this Agreement transfers, assigns, sells, licenses beyond the stated scope, or otherwise conveys any Intellectual Property Rights in the Software, Documentation, or IPAManager materials to you. No customization, support response, configuration assistance, feature request, bug fix, implementation guidance, branding adjustment, documentation update, or other work related to the Software shall be considered a work made for hire or customer-owned development unless IPAManager signs a separate written agreement expressly stating otherwise.
8. Protected IPAManager Materials
The protected materials of IPAManager include, without limitation:
- the IPAManager product, code, binaries, installers, update packages, modules, services, UI, UX, visual design, page layouts, menu structures, workflows, and reports;
- network scan logic, discovery logic, parser logic, topology mapping logic, credential handling logic, inventory structures, subnet calculations, report logic, audit logic, and automation logic;
- technical documentation, installation guides, tutorial content, screenshots, diagrams, videos, support articles, website copy, marketing materials, and product descriptions;
- the IPAManager name, logos, branding, icons, trademarks, service marks, domain names, and distinctive product identity; and
- license mechanisms, license files, activation workflows, trial controls, commercial packaging, pricing structures, and non-public roadmap or support information.
9. Customer Data
As between you and IPAManager, you retain ownership of your Customer Data. IPAManager does not claim ownership of your network inventory, credentials, subnet data, topology data, logs, reports, or other data generated from your environment through your authorized use of the Software.
You are solely responsible for the accuracy, legality, security, backup, retention, deletion, and access control of Customer Data, including credentials, network information, logs, exported reports, and any personal data processed in your environment.
If you voluntarily provide logs, screenshots, configuration examples, diagnostic files, feedback, or other materials to IPAManager for support, troubleshooting, sales, or improvement purposes, you grant IPAManager a limited right to use those materials for the purpose for which they were provided, subject to applicable privacy and confidentiality obligations.
10. Credentials, Secrets, and Security Configuration
You are responsible for securely configuring, storing, rotating, limiting, backing up, and deleting credentials, secrets, encryption keys, certificates, tokens, passwords, SNMP communities, API keys, and other sensitive configuration items used with the Software. IPAManager is not responsible for unauthorized access, data loss, credential exposure, misconfiguration, or scanning activity caused by your environment, users, devices, permissions, or operational practices.
11. Feedback and Suggestions
If you submit ideas, requests, comments, corrections, improvements, feature suggestions, bug reports, workflows, screenshots, examples, or other feedback regarding the Software or Documentation, IPAManager may use, copy, modify, implement, commercialize, and incorporate that feedback without restriction, payment, attribution, or obligation to you. You agree that feedback does not create any ownership, license, royalty, confidentiality, or compensation claim against IPAManager.
12. Trademarks, Branding, and Public References
You may not use the IPAManager name, logo, trademarks, service marks, icons, screenshots, product visuals, or branding in any way that suggests ownership, endorsement, partnership, resale authorization, certification, or affiliation without prior written approval from IPAManager. You may make truthful references to IPAManager solely to identify the Software you use, provided such use is accurate, non-misleading, and does not damage IPAManager's reputation or rights.
13. Documentation and Website Content
Documentation and website content are provided for your internal use in connection with the licensed Software only. You may not copy, publish, translate, modify, scrape, redistribute, sell, include in training material, or use the Documentation or website content to create competing documentation, products, services, or training materials without prior written permission from IPAManager.
14. Third-Party and Open-Source Components
The Software may include, bundle, interact with, or depend on third-party or open-source components. Those components may be governed by separate license terms. Nothing in this Agreement limits rights you may have under applicable open-source licenses for those specific components. All IPAManager proprietary code, configuration, packaging, workflows, documentation, branding, and commercial materials remain protected under this Agreement.
15. Updates, Upgrades, and Changes
IPAManager may provide updates, upgrades, patches, fixes, installers, documentation changes, or feature changes from time to time. Unless IPAManager states otherwise, all updates, upgrades, patches, fixes, and related materials are part of the Software and are governed by this Agreement. IPAManager is not required to provide any specific update, feature, compatibility, roadmap item, or support response unless separately agreed in writing.
16. License Keys and Activation
License keys, license files, activation tokens, certificates, trial licenses, and entitlement information are confidential and proprietary to IPAManager. You must not share, publish, sell, transfer, bypass, reuse outside the permitted scope, manipulate, or attempt to generate or reverse engineer any license key, license file, activation mechanism, or entitlement control.
17. Confidential and Proprietary Information
Non-public information relating to the Software, including license keys, license files, pricing terms, roadmap information, source code, technical design, security controls, vulnerability information, implementation details, support diagnostics, and non-public documentation, is confidential and proprietary information of IPAManager. You must protect such information from unauthorized access, use, or disclosure with at least reasonable care.
18. Customer Responsibilities for Network Scanning and Compliance
You are solely responsible for ensuring that all scanning, discovery, inventory, topology mapping, credential use, reporting, exporting, and monitoring performed through the Software is authorized, lawful, and compliant with your internal policies and applicable laws. You must not use the Software to scan, access, inventory, monitor, or document networks, devices, systems, or data that you do not own, control, or have explicit authorization to manage.
19. Compliance Verification
Upon reasonable request, you agree to provide information sufficient to verify that your use of the Software complies with the license scope and restrictions applicable to you. Any such verification shall be conducted in a commercially reasonable manner and without unnecessary disruption to your operations.
20. Warranty Disclaimer
The Software, Documentation, website content, trial versions, updates, and related materials are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, IPAManager disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free performance, compatibility, security, accuracy, and suitability for any specific environment or use case.
21. Limitation of Liability
To the maximum extent permitted by law, IPAManager shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business opportunity, goodwill, data, credentials, configurations, logs, reports, network availability, or business interruption arising out of or relating to the Software, Documentation, website, this Agreement, or your use of or inability to use the Software.
To the maximum extent permitted by law, IPAManager's total aggregate liability for all claims arising out of or relating to this Agreement or the Software shall not exceed the amount actually paid by you to IPAManager for the Software during the twelve (12) months preceding the event giving rise to the claim. If you use a free, trial, beta, or evaluation version, IPAManager's total aggregate liability shall be limited to the minimum amount permitted by applicable law.
22. Customer Indemnity
You agree to defend, indemnify, and hold harmless IPAManager from and against any claims, damages, liabilities, costs, and expenses arising out of or relating to your Customer Data, your unauthorized or unlawful use of the Software, your breach of this Agreement, your violation of third-party rights, or your scanning, monitoring, access, credential use, or network activity.
23. Termination
This Agreement and your license may terminate automatically if you breach this Agreement, exceed the license scope, fail to pay applicable fees, misuse license keys, infringe or threaten IPAManager's Intellectual Property Rights, or otherwise use the Software unlawfully or without authorization. Upon termination, you must immediately stop using the Software and delete or destroy all copies of the Software, installers, license keys, Documentation, and related IPAManager materials in your possession or control, except where retention is required by law.
Sections relating to ownership, restrictions, confidentiality, feedback, Customer Data responsibilities, warranty disclaimer, limitation of liability, indemnity, termination effects, governing law, jurisdiction, and enforcement shall survive termination.
24. Injunctive and Equitable Relief
You acknowledge that unauthorized use, copying, disclosure, reverse engineering, distribution, modification, sublicensing, resale, or infringement of the Software, Documentation, license mechanisms, trade secrets, trademarks, or other Intellectual Property Rights may cause irreparable harm to IPAManager for which monetary damages may be inadequate. IPAManager may seek injunctive, equitable, or urgent relief in any court of competent jurisdiction, in addition to any other rights or remedies available under law or this Agreement.
25. Export Control and Sanctions
You must comply with all applicable export control, import, sanctions, and trade compliance laws and regulations. You must not use, export, re-export, transfer, or provide access to the Software in violation of such laws or to any prohibited person, entity, country, or end use.
26. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Israel, without regard to conflict-of-law principles.
The competent courts of Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to this Agreement, the Software, the Documentation, the website, the license, or the Intellectual Property Rights of IPAManager.
Notwithstanding the above, IPAManager may seek urgent injunctive, equitable, or protective relief in any court of competent jurisdiction in order to protect confidential information, Intellectual Property Rights, trade secrets, licensing mechanisms, source code, customer-sensitive information, or other proprietary rights.
27. Changes to this Agreement
IPAManager may update this Agreement from time to time by posting a revised version on its website or by otherwise making the updated terms available. The updated Agreement applies to downloads, installations, updates, renewals, purchases, or continued use after the effective date of the updated terms, subject to applicable law.
28. Severability and Entire Agreement
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in effect, and the unenforceable provision shall be interpreted or replaced to achieve its intended purpose to the maximum extent permitted by law. This Agreement, together with any applicable order, invoice, license confirmation, or written commercial terms accepted by IPAManager, constitutes the entire agreement between you and IPAManager regarding the Software and supersedes prior or conflicting terms relating to the Software, unless expressly agreed otherwise in writing by IPAManager.
